Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Rejig software, services, and website (collectively, the "Service"), which are owned and operated by Sonic Baume LTD ("we," "us," or "our"), a company registered in England and Wales.

By creating an account, subscribing to a plan, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Definitions

  • "Service" refers to the Rejig platform, including its transcription, analysis, editing, AI content generation, and export functionalities.
  • "User", "you", "your" refers to the individual or entity that has registered for an account to use the Service.
  • "User Content" means any and all media files (audio, video), text, data, and other information that a User uploads, submits, or creates within the Service.
  • "Subscription" refers to the recurring payment plan selected by the User to access the Service.
  • "Credits" refers to the allotment of processing time (measured in minutes) included with a Subscription for a given billing period.
  • "Overage" refers to the use of the Service for processing minutes that exceed the Credits included in your Subscription.

Account

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.
  • Take responsiblity for all activities that occur under your account.

You must be at least 18 years old to use the Service. By creating an account and using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement.

Subscription

The Service is offered on a subscription basis. By selecting a Subscription plan, you agree to pay the recurring fees associated with that plan.

Your Subscription will automatically renew at the end of each billing cycle (e.g., monthly or annually) unless you cancel it through your account settings before the renewal date. You authorize us to charge your selected payment method for the renewal subscription fee.

Your Subscription plan includes a specific number of Credits for media processing each billing period. Unused Credits will roll over to the next billing period.

If your use of the Service exceeds the Credits included in your Subscription, you will incur Overage charges. These charges will be clearly displayed before you upload content. You agree that we are authorized to automatically bill your payment method on file for any Overage minutes used. The rate for Overage minutes will be clearly displayed on our pricing page and/or within your account settings.

We reserve the right to change our subscription fees or Overage rates. Your continued use of the Service after the price change constitutes your agreement to pay the modified amount.

Refund policy

In the event you are charged Credits for a Service that we fail to provide (e.g. due to a technical error), we will restore the lost Credits to your account. Except as required by law, all fees paid are non-refundable.

If you are a consumer in the UK or EU, you may have a legal right to cancel within 14 days of starting a new Subscription. If you use the Service during this period, you agree that you lose this right to cancel and are not entitled to a refund. Nothing in these Terms affects your statutory rights.

User Content

You retain all ownership rights, including intellectual property rights, to your User Content. We do not claim any ownership over your User Content.

To enable us to operate the Service, you grant Sonic Baume LTD a limited, non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, transcribe, analyze, modify (at your direction), and display your User Content solely for the purpose of providing and improving the Service.

This licence does not permit us to use your User Content for marketing, promotional, or advertising purposes.

This license terminates when you delete your User Content or your account, subject to 30-day retention for legal and compliance obligations.

AI Features

The Service includes features that use artificial intelligence ("AI") to suggest edits and generate additional content.

We will use reasonable care and skill in providing AI features, but AI outputs are generated automatically and may not be accurate, original, or suitable for your intended purpose. You are responsible for reviewing and verifying all outputs before use.

We do not guarantee that these outputs will not resemble existing works or be free of third-party claims. You are responsible for ensuring your use of outputs complies with applicable laws and regulations.

Privacy and Data Protection

We are committed to protecting your personal data. Our collection and use of personal data are governed by our Privacy Policy, which forms part of these Terms.

Beta Features

Certain features may be released as beta or experimental. These are provided “as-is,” may contain bugs, and may be modified or discontinued without notice.

Acceptable Use

You agree not to misuse the Service or help anyone else to do so. This includes, but is not limited to:

  • Uploading or processing any User Content that is unlawful, defamatory, obscene, or infringes on the rights of any third party.
  • Violating intellectual property rights, privacy rights, or other rights of others.
  • Attempting to reverse engineer, decompile, or otherwise discover the source code of the Service.

Content Moderation and Copyright

We reserve the right to review User Content and remove any that we believe, in our sole discretion, violates these Terms or any applicable law, without prior notice to you.

We respect the intellectual property rights of others and expect our users to do the same. If you are a copyright owner and believe that any content on our Service infringes upon your copyrights, please notify us. We will respond in accordance with applicable law, including the UK Copyright, Designs and Patents Act 1988 and, where relevant, the US Digital Millennium Copyright Act.

We reserve the right to suspend or terminate the accounts of users who are found to be repeat infringers of copyright or who otherwise violate these Terms, without notice and without liability.

Data Storage

The Service is designed as a media production tool, not as a primary data storage or backup service. You agree that you will not rely on the Service for the purposes of content storage or backup.

You are solely responsible for maintaining independent backups of your User Content. We will not be liable for any loss, corruption, or unavailability of your User Content. Before account termination, you may export your User Content where technically feasible. We may retain minimal records as required for billing, fraud prevention, or legal compliance.

Service Availability

We strive to maintain reliable access to the Service, but we do not guarantee uninterrupted, timely, or error-free operation. We may need to suspend access temporarily for maintenance, updates, or technical issues, for which we will give reasonable notice.

Termination

You can cancel your Subscription and terminate your account at any time through your account settings.

We reserve the right to suspend or terminate your access to the Service if we determine at our sole discretion that you have breached these Terms, without notice or liability.

Upon termination, your right to use the Service will immediately cease. We will make commercially reasonable efforts to permanently delete your account and all associated User Content in accordance with the terms of our Privacy Policy.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

If you are a business user, any dispute, controversy or claim arising out of or in connection with this contract shall be referred to and finally resolved by binding arbitration under the Rules of the London Court of International Arbitration (LCIA).

  • The number of arbitrators shall be one.
  • The seat, or legal place, of arbitration shall be London, England.
  • The language to be used in the arbitral proceedings shall be English.

If you are a consumer, you may bring legal proceedings in the courts of your country of residence. Nothing in this clause limits your statutory rights.

Disclaimer

The Service is provided on an “as is” and “as available” basis. While Sonic Baume LTD will use reasonable skill and care in providing the Service, we do not guarantee that it will be uninterrupted, secure, or error-free.

Except as expressly set out in these terms, and to the fullest extent permitted by law, Sonic Baume LTD excludes all warranties, conditions and other terms, whether express or implied, including any relating to satisfactory quality, fitness for a particular purpose, and non-infringement.

Nothing in these terms excludes or limits our liability for:

  • death or personal injury caused by our negligence,
  • fraud or fraudulent misrepresentation, or
  • any other liability which cannot lawfully be excluded.

Subject to the above, Sonic Baume LTD shall not be liable for:

  • loss of profit, loss of business, loss of goodwill, loss of data, or any indirect or consequential loss; and
  • any other losses arising in connection with your use of the Service, to the extent that such losses were not reasonably foreseeable.

Our total liability to you for all claims arising in relation to the Service shall not exceed the amount you have paid to us in the 12 months before the claim.

Indemnification

If you are a business user, you agree to defend, indemnify, and hold harmless Sonic Baume LTD and its officers, directors, and employees from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including any intellectual property or privacy right.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable) for causes beyond that party’s reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or network infrastructure failures.

General Provisions

These Terms constitute the entire agreement between you and Sonic Baume LTD regarding the Service and supersede all prior agreements and understandings. Nothing in this clause excludes liability for fraud or fraudulent misrepresentation, or affects your statutory rights.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

You may not assign or transfer your rights or obligations under these Terms, including your account, to another party without our prior written consent.

We may assign or transfer our rights and obligations under these Terms to another entity without restriction, such as in connection with a merger, acquisition, or sale of assets.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice through the Service or by sending you an email. Your continued use of the Service after such changes constitutes your consent to the revised Terms.
